| 520 | 3 | |a Die Deutsche Corporate Governance Forschung ist geprägt von anglo-amerikanischen Ansätzen. Die vorliegende Dissertation adressiert die sich hieraus ergebende Forschungslücke zur Unternehmensaufsicht in Deutschland aus einer verhaltensorientierten Perspektive und dem individuellen Handeln der strategischen Akteure in der Praxis. Durch einen explorativen qualitativen Ansatz und der Rekonstruktion individueller narrativer Episoden wird die Ausgestaltung der Überwachungs- und Gestaltungstätigkeit im Aufsichtsrat dargestellt. Hierfür werden im Kontext eines Technologieunternehmens verschiedene Methoden kombiniert. Diese Arbeit bestätigt ein grundsätzliches systematisches Informationsdilemma für den deutschen Aufsichtsrat und seinen geringen Einfluss auf die tatsächlich im Unternehmen umgesetzte und durch ihn zu überwachende Strategie. Sie identifiziert Methoden zur Überwindung dieses Dilemmas und zeigt insbesondere, dass in der Praxis durch die Auswahl vertrauter Personen für den Vorstand, in der Absicherung einer konsistenten normativen Wertevorstellung und insbesondere in der Etablierung einer laufend verifizierten Vertrauensbeziehung der wirksamste mittelbare Einfluss der Aufsichtsräte auf eine gute Unternehmensführung besteht. Damit basiert eine konsistente Unternehmensführung und -lenkung im Wesentlichen auf vorgelagerten Kontrollen, die jedoch für aussenstehende im Grunde nicht zu erkennen sind. Die vorliegende Dissertation leistet einen wesentlichen Beitrag zum praktischen Verständnis vertrauensbasierter Aufsichtsratsarbeit. Sie liefert weitergehende Hinweise zur Überwindung anglo-amerikanischer Maximen und der weitere Integration praxisbezogener Forschungsansätze für ein tiefergehendes Verständnis wirksamer dualer Governance Strukturen in Deutschland. Für die Praxis ergeben sich darüber hinaus grundsätzlich Zweifel an der Wirksamkeit von dualen Überwachungsstrukturen und deterministischen Strategievorstellungen. | |
| 520 | 3 | |a German Corporate Governance research is shaped by Anglo-American theories. This dissertation addresses the resulting research gap on Corporate Governance in Germany from a behavioural perspective and individual agency of the strategic actors in practice. The control and direction activities of the supervisory board are constituted by an explorative qualitative approach and the reconstruction of individual narrative episodes. For this, different methods are combined in the context of a technology firm. This study confirms a fundamental and systematic information dilemma for the German supervisory board members and their limited influence on the strategy actually performed executed by the firm, which has to be controlled by them. It identifies methods for overcoming this dilemma and shows in particular that, in practice, the most effective mediate influence of the supervisors on good corporate management refers to the selection of well-known persons for the executive board, the consistency of normative values and in particular in establishing a constantly re-assessed trust relation. Thus a consistent direction and control is mainly based on "upstream controls", which can actually not be realised by outsiders. This dissertation makes a substantial contribution to the understanding of trust-based Corporate Governance in practice. It provides further indications for overcoming Anglo-American axioms and for the further integration of practical research approaches for a better understanding of two-tier Governance structures in Germany. Furthermore, for practice, this research raises general doubts regarding the effectiveness of two-tier supervisory structures and deterministic strategy perceptions. | |
