| 520 | 3 | |a Klein- und mittlere Unternehmen (KMU) spielen eine wesentliche Rolle in der französischen Gesamtwirtschaft: 97% aller französischen Unternehmungen sind KMU, wobei gesamthaft 50% aller Arbeitsplätze von KMU geschaffen werden. Gleichwohl erhalten KMU oftmals nicht die notwendige Unterstützung in der Praxis, da die zuständigen französischen Behörden tendenziell eher Grossunternehmungen angehen. Dies ist mitunter ein Grund warum die Profitabilität von Französischen KMU unter dem europäischen Durchschnitt liegt und die Hälfte die ersten fünf Jahre nach der Gründung nicht überdauert. In Frankreich haben KMU während der Finanzkrise signifikante Einbussen hinnehmen müssen, was nebst Umsatz- und Einnahmerückgängen zu Entlassungen und einer Insolvenzwelle geführt hat. Heutzutage sind französische KMU deshalb ganz besonders auf Unterstützung angewiesen, um ihre Geschäftstätigkeiten zu gewährleisten und widerstandsfähiger zu gestalten. Neben den täglichen Herausforderungen im operativen Geschäft haben sich KMU in Frankreich bislang allerdings kaum um Corporate Governance gekümmert. Dies obgleich Studien belegen, dass ausgeglichene und effiziente Governance Prozesse einen positiven Effekt auf die finanzielle Situation eines KMU haben können, sowie dessen Glaubwürdigkeit und Unterstützung von Anteilseignern und auch Interessensgruppen stärkt. Bislang hat sich die Corporate Governance Forschung kaum mit KMU befasst, insbesondere nicht mit denjenigen welche nicht börsennotiert sind. Hinzu kommt die Tatsache, dass die vorhandene Forschung zu Governance Vorgehensweisen in Grossunternehmen nicht einfach auf KMU anwendbar ist. Ausgeglichene Governance mit wirksamer Gewaltenteilung ist in französischen KMU deshalb nur in Einzelfällen und ungenügend vorhanden. | 520 | 3 | |a Small and medium-sized companies (SMEs) play an important role in the French economy: they constitute for more than 97% of all French companies and employ about 50% of the entire workforce. Nevertheless, often French SMEs do not receive due assistance, as traditionally the French authorities devote much of their support primarily to larger companies. As a consequence, the profitability of French SMEs is below the European average and half of them do not survive past the five-year threshold. In France, SMEs have suffered significantly during the financial crisis, and decreasing revenues and profits have led to a slowdown in job creation and a wave of bankruptcies. Today, French SMEs are especially in need of support to ensure the resilience of their organizations. Submerged by multi-faceted challenges of everyday operations, French SMEs have not yet devoted much effort to their corporate governance practices. Notwithstanding research shows that balanced and efficient corporate governance can improve the financial situation of an SME, foster credibility and enhance support from shareholders and stakeholders. So far corporate governance research has devoted only limited effort to SMEs, let alone to non-listed ones. Moreover, the ample research on governance best practices for large companies cannot be simply scaled down for SMEs. In the meanwhile corporate governance of French SMEs remains fragmented and lacks recommended checks and balances. This doctorate thesis is looking to develop recommendations on corporate governance specifically applicable for non-listed SMEs in France. To do so, firstly the theoretical foundation of corporate governance research is analyzed to evaluate to what extend they may be practical for SMEs.
